    Who should file the Delaware LLC annual filing fee?

    I’m running an LLC formed outside of Delaware, but I’ve registered it in Delaware for the benefits. I’ve heard about the annual filing fee, but I’m not sure if I need to pay it every year or if it depends on my business type.

    Regardless of whether you are a Delaware domestic corporation, an LLC formed in another state, or a non-resident, you are required to pay the annual Delaware LLC fee, which is the Franchise Tax. While Delaware does not require an annual report for LLCs, the Franchise Tax of $300 is due annually by June 1. This fee applies to all LLCs, regardless of age, activity level, or income.

    Failure to pay by the due date results in an automatic $200 penalty added to the tax, with a zero-tolerance policy for late payments. Delaware does not require income tax reports or accounting data for LLCs that do not operate within the state.
