    What happens if I don’t renew my Montana LLC or pay the required fees?

    I created LLC in Montana and I don’t live in USA, Non US person , later i found out that the renewal fees is higher than the creation fees and that i will be taxes, I should’ve selected Wyoming, I really regret it and now I feel like i don’t want to do the business i wanted, i can’t get clear inform about taxes and i want to close it down but i will cause me to pay another 100 USD and my budget is already tight, if i never used it, and i didn’t apply for the EIN yet, what if i didn’t pay for renewal, will i still be asked to file for taxes or to pay taxes or to pay anything ? will they dissolve it automatically or not? can someone help me and explain how things work and how taxes work as well ?

    If you don’t renew or pay the required annual fees, Montana will likely proceed with administrative dissolution of your LLC after a grace period, which can take several months to a year. During this time, your LLC will lose its \”good standing\” status and eventually be dissolved by the state.

    Once the LLC is administratively dissolved, Montana typically won’t aggressively pursue non-residents unless there are significant liabilities or legal issues. That said, penalties could accrue until the dissolution process is completed.

    If your budget allows, consider filing Articles of Dissolution to formally close your LLC. This avoids potential penalties or compliance issues later. While this requires a one-time fee, it ensures the LLC is properly closed and no longer a concern.

    If your LLC never operated or generated income, and you don’t have an EIN, your tax obligations are likely minimal to nonexistent.
